The Zovrah Early Access Programme (“Programme”) is operated by ZOVRAH UK LTD, a private limited company registered in England and Wales under company number 16660258, with its registered office at 167–169 Great Portland Street, 5th Floor, London, United Kingdom, W1W 5PF (“Zovrah”, “we”, “our”, “us”). These Terms and Conditions (“Terms”) govern your registration with, access to, and participation in the Programme.
By joining the Programme, by selecting the “Pay Today” option, or by accessing any pre-release version of the Zovrah application (“Platform”), you agree to be legally bound by these Terms. If you do not agree to these Terms, you must not participate in the Programme.
1. Eligibility and Acceptance
Participation in the Programme is strictly limited to individuals who are at least 18 years of age, capable of entering into legally binding agreements, and who have either been invited directly by Zovrah or approved through our application process. Access to the Programme is a privilege, not an entitlement, and Zovrah reserves full discretion to accept, decline, or remove any participant at any time. By joining the Programme, you confirm that all information provided is accurate and complete and that you will not attempt to access the Programme on behalf of another individual unless expressly authorised in writing.
2. Purpose and Nature of the Early Access Programme
The Programme provides selected users (“Participants”) with access to early-stage, pre-release, or developmental versions of the Zovrah Platform and associated services. These early versions exist solely for the purposes of testing, user research, product refinement, identification of technical issues, and gathering insights prior to public release. You acknowledge that the Programme is experimental and developmental in nature and that participation does not grant you ownership, decision-making rights, or any form of employment or partnership with ZOVRAH UK LTD. The Platform provided during this phase is not representative of the final consumer version.
3. Pre-Release Software Disclaimer
By participating, you understand that the Platform is provided in a pre-release state and may contain defects, inaccuracies, incomplete features, interruptions, data inconsistencies, or performance issues. Zovrah makes no guarantees regarding stability, uptime, accuracy, or feature availability during this stage. Features may change, evolve, or be removed without notice. You acknowledge that you use the Platform entirely at your own risk, and insights generated should not be interpreted as final, medical, or professional advice.
4. Founding Member Payment, Access, and Refunds
Participants may have the option to become Founding Members by using the “Pay Today” feature to secure a place within the Programme. If you choose to pay to secure your Founding Member status, you acknowledge that this payment does not grant immediate access to the Platform. Instead, the payment secures your guaranteed position and ensures you will be among the earliest users invited into Early Access once accounts begin rolling out. Zovrah retains full control over the timing of access and does not guarantee a specific activation date.
Any Founding Member fee paid is refundable only until the moment your Zovrah account is created. Once your account has been generated in our system—regardless of whether you log in, activate it, or use the Platform—you forfeit any right to a refund under all circumstances. By submitting payment, you expressly agree to this refund structure and understand that no exceptions apply.
5. Founding Member Benefits and Limitations
Founding Members may receive specific privileges, which may include lifetime access to the Platform without subscription fees, invitations to exclusive events, early access to new features, or enhanced support. These benefits apply only where explicitly confirmed in writing by Zovrah.
The phrase “never pay a fee again” refers strictly to the Platform subscription fee. It does not include charges for future optional products or services, including but not limited to merchandise, supplements, paid in-person events, premium digital upgrades, or additional offerings Zovrah may introduce. Founding Member benefits are personal, non-transferable, and non-refundable.
6. Participant Responsibilities and Conduct Requirements
As a Participant—and especially as a Founding Member—you agree to actively support the development of the Platform by providing thoughtful insights, reflections, feedback, and participation in product research when reasonably requested. This includes completing surveys, reporting issues, sharing your experience, and engaging meaningfully with the Zovrah team. If you fail to contribute sufficiently or engage in the Programme’s feedback process, Zovrah may remove you from the Programme without refund, including in cases where you paid to secure access.
You further agree not to misuse or tamper with the Platform, not to share confidential information publicly, and not to reverse-engineer, duplicate, or commercially exploit any part of the Platform.
7. Feedback and Intellectual Rights
Any suggestions, ideas, insights, or comments (“Feedback”) you provide are voluntary and intended to support product improvement. By participating and submitting Feedback, you grant Zovrah a perpetual, irrevocable, global, royalty-free licence to use, develop, publish, or commercialise such Feedback without compensation or attribution. You acknowledge that Zovrah may independently develop features similar to your Feedback.
8. Data Collection and Privacy
Participation may require the processing of personal data, diagnostic information, behavioural metrics, and usage patterns. All data is handled in accordance with the Zovrah Privacy Policy, which is incorporated by reference into these Terms. You consent to the collection and analysis of such data for performance monitoring, research, product refinement, and technical evaluation.
9. Programme Duration, Suspension, and Termination
Zovrah may modify, pause, or terminate the Programme at any time. Participants may be suspended or removed if they violate these Terms, fail to meet participation requirements, act in a disruptive manner, or compromise the integrity of the Programme. Removal from the Programme does not entitle you to a refund except as expressly stated in Section 4. You may withdraw at any time; however, doing so does not create eligibility for a refund.
10. Disclaimers and Limitations of Liability
The Programme is provided on an “as is” and “as available” basis. Zovrah disclaims all warranties, express or implied. We do not guarantee compatibility, uptime, reliability, accuracy, or uninterrupted access. Experimental features may generate inaccurate or incomplete outputs.
To the fullest extent permitted by law, Zovrah shall not be liable for indirect, incidental, consequential, or punitive damages, including loss of data, device damage, emotional distress, reduced wellbeing, or financial losses arising from your participation. Zovrah’s total liability for any claim arising under these Terms shall not exceed £50.
11. Intellectual Property Rights
All software, branding, content, designs, text, imagery, algorithms, and intellectual property associated with the Programme remain the sole property of ZOVRAH UK LTD. Participation grants a temporary, revocable right to access the Platform for testing purposes only and does not confer ownership or licence beyond this limited scope.
12. Confidentiality
You may be exposed to confidential or proprietary information, including unreleased features, internal communications, product tests, early-stage designs, or strategic information. You agree to maintain complete confidentiality and not to disclose, publish, or share such information without written authorisation from Zovrah. This obligation continues indefinitely beyond your participation.
13. Amendments
Zovrah may revise or update these Terms at any time to reflect changes in policy, law, or the Programme. Any modifications will become effective immediately upon publication. Continued participation indicates acceptance of the updated Terms.
14. Governing Law
These Terms are governed exclusively by the laws of England and Wales. Any disputes relating to the Programme will be subject to the exclusive jurisdiction of the courts of England and Wales.
